Introduction
The purpose of these General Terms and Conditions (hereinafter referred to as "GTC") is to regulate in detail the conditions for using the HELPY application and website operated by Ma-Be Innovations Ltd. (hereinafter collectively referred to as the "Platform"). The GTC apply to all current and future Users (hereinafter referred to as "User") and service providers/entrepreneurs (hereinafter referred to as "Service Provider" or "User") who register on the Platform. By registering, the Service Provider and User acknowledge that they have read, understood, and accept the terms and conditions outlined in the GTC as binding.
These Terms and Conditions are effective from 2024.08.09.

General Registration Conditions
Acceptance of General Terms and Privacy Policy: By registering, the Service Provider confirms that they are familiar with and accept both the General Terms and Conditions (GTC) and the Privacy Policy. Failure to do so will result in the failure of the registration.
Profile Activation and Visibility: After approval by HELPY administrators, the Service Provider's profile will become visible in the application and on the website. Subsequently, Users can search for the Service Provider through the provided contact details.
Notifications and Newsletters: By registering, the Service Provider agrees to receive system messages and newsletters from the Operator to the provided email address.
Profile Information: The information, contact details, images, and personal descriptions provided by the Service Provider during registration will be publicly visible. The Operator guarantees that this data will be used solely for the operation of the Service and will not be shared with third parties.
Data and Content: The Service Provider commits to ensuring that the information provided in their profile is accurate, lawful, and does not infringe on third-party rights. The Service Provider is responsible for the content displayed in their profile, including its legality and freedom from third-party rights.
Content Removal: The Operator reserves the right to remove incorrect, incomplete, or infringing data and, if justified, to block the Service Provider's profile or suspend the Service.
Expertise and Professionalism: The Service Provider declares that they have the necessary expertise to provide high-quality services in the activities listed in their profile and agrees to meet the clients' needs to the best of their ability.
Data Accuracy: During registration, the Service Provider is obliged to provide accurate and complete data and to update any changes to this data without delay.
Service Provider Conduct: If the Service Provider's behavior violates legal or ethical norms or threatens the interests of the Operator's company, the Operator is entitled to block the profile and cooperate with authorities.
Using the Website
Profile Access: The Service Provider can access and edit their profile only after logging in with valid identification details. The protection of these identification details is the Service Provider's responsibility, and the Service Provider is accountable for any misuse. The profile helps facilitate communication with the Service Provider.
Data Updating: The Service Provider must ensure their profile is up-to-date and promptly update any changes to the data. In case of false data, the Operator has the right to restrict access or delete the registration.
Password Reset: If the Service Provider forgets their password, they can submit a password reset request through the login page and then reset their password using the link sent by email.
Operator's Rights: The Operator reserves the right to delete the registration and refuse new registrations in the event of a breach of the GTC.
Contact: The Service Provider and User accept that communication operates outside of the HELPY pages. The Operator is not responsible for communications occurring outside of the platform.
Using the Application
Profile Access: The profile facilitates communication with the Service Provider. The profile cannot be edited through the application; it can only be edited by logging in with valid identification details (valid email address, password) on the website.
Data Updating: Data in the application is updated immediately through changes made on the website. The Service Provider is required to provide accurate and true data in their profile and update it if there are changes. In case of false data, the Operator has the right to restrict access or delete the registration.
Password Reset: If the Service Provider forgets their password, they can request a password reset on the login page. By clicking the link sent by email, they can access their profile and set a new password.
Operator's Rights: The Operator reserves the right to refuse new registrations if the registration was deleted due to a breach of the GTC.
Contact: The Service Provider and User accept that communication operates outside of the HELPY pages. The Operator is not responsible for communications occurring outside of the platform.
Operation of the Website and Application
Public Disclosure of Data: By registering, the Service Provider agrees to make their data publicly accessible on the HELPY application and website and authorizes the Operator to assist in communication between the Service Provider and Users.
User Account: After completing the registration, the Service Provider will have a Service Provider account that allows them to manage their profile, update data, and access additional services of the platform.
Determination of Search Results Order: The Operator reserves the right to determine the order of search results within the industry using an automated system that takes various factors into account.
Conditions for Using the Website and Application: The Operator ensures the Service with the highest possible availability but does not accept responsibility for temporary unavailability of the Service, such as due to maintenance or technical issues.
Subscription System and Payment Rules
Subscription: To appear on the Application and the Website, a monthly subscription is required. The subscription can be paid via credit card or bank transfer to the Operator's account at K&H Bank.
Subscription Fees: Service provider partners can choose from the following packages (prices include 27% VAT):
- 1-month package price: HUF 3,871
- 3-month package price: HUF 8,436 (HUF 2,812/month)
- 12-month package price: HUF 30,720 (HUF 2,561/month)
The Operator will issue an invoice for every received transfer and payment, which can be downloaded from the account. The invoice will list Barion Payment Zrt.
Online credit card and other payment methods are processed through the Barion system. Credit card and other payment details are not shared with the merchant. Barion Payment Zrt., the service provider, is supervised by the Hungarian National Bank, license number: H-EN-I-1064/2013.
Recurring Payments: The recurring credit card payment option allows the Service Provider to initiate further payments using the credit card details provided during registration without re-entering the card details for fixed monthly subscription packages. By saving the card, the Service Provider consents to future payments being made without re-entering the card details. Neither the Operator nor BARION has access to the card details. The Operator is directly responsible for any incorrect or unauthorized recurring payments.
Subscription Terms
Trial Period and Subscription: The Operator may grant free trial days during a promotional period to the Service Provider, requiring the provision of credit card details. During this period, the Service Provider can use all functions of the Application and the Website.
The subscription is valid for one month from the payment date. The date of the first payment will be the start date for subsequent monthly billing cycles, regardless of the actual payment date.
Authentication Fee Deduction: To authenticate the Service Provider's credit card, the Operator will deduct an amount of HUF 10 from the Service Provider's credit card.
Refund: The Operator will promptly refund the HUF 10 to the Service Provider's bank account after authentication.
Purpose: Credit card authentication is necessary for secure use of the Service and to ensure the authenticity of future transactions.
Refund Time: The refund may take up to 1-3 business days depending on banking processing times.
Automatic Credit Card Payment: The Website automatically deducts the monthly fee at the start of each billing cycle unless the Service Provider cancels the subscription or if the deduction fails. In case of a failed deduction, the subscription will be terminated, and the Service Provider will receive a notification.
Change in Subscription Fees: The Operator informs Service Providers that fees may change depending on services and market conditions. This applies even if the Service Provider restarts a previously expired subscription. The current amount will always be displayed on the Website.
If the Operator implements a fee increase and the Service Provider does not explicitly object to the new fees, i.e., does not contact the Operator or cancel the service, the Operator considers this behavior as acceptance of the increased fees. By not objecting, the Service Provider implicitly agrees to the new fees.
Refusal of the new fees may result in the termination of the subscription.
Subscription Cancellation and Refund: The Service Provider may cancel the subscription at any time, but the Operator will not refund any unused portion of the subscription period.
Limitation of Liability
The website Operator acts solely as an intermediary in establishing connections between Companies and Users. The Operator explicitly excludes all responsibility for the quality, performance, or damages resulting from the Services provided by the Service Providers.
The Operator is not responsible in any way for the work performed by the Service Providers or for handling disputes, compensation claims, or other legal claims related to these works.
The information on the website is for informational purposes only, and the Operator does not guarantee its accuracy, completeness, or timeliness.
The Operator is not obliged to verify or oversee the quality of the Services provided by the Service Providers or how they are performed. The contact information and details of the Service Providers on the website are solely for the Users' information and should not be considered as recommendations or endorsements of the Services.
Users acknowledge and accept that all risks and responsibilities associated with using the Services provided by the Service Providers lie solely with the Users. The Operator is not responsible for any damages or losses related to using the Services provided by the Service Providers.
The Operator reserves the right to modify or update these Terms and Conditions at any time without prior notice to Users. Users are responsible for regularly checking and adhering to the current Terms and Conditions.
Users agree that by using the website, they automatically accept the provisions and conditions of these Terms and Conditions.
The Service Provider assumes full responsibility for all activities conducted within the Service framework. Legal representatives are responsible for activities conducted by minor Users. The Service can only be used in compliance with applicable laws, respecting the rights of third parties and the Operator, and adhering to the provisions of these Terms and Conditions. All Service Providers must act responsibly and respectfully towards other Service Providers, Users, and the Operator. The Service Provider agrees not to use the Service to harass, defame, slander, or otherwise infringe upon the personal and other rights of others. The Operator reserves the right to restrict those Service Providers who violate these terms.
Service Operation:
The Operator will do everything possible to ensure continuous and error-free operation of the Service. However, the Operator excludes responsibility for any consequences arising from faulty or improper operation of the Service, including damages, data loss, computer errors, and security breaches by external parties.
Amendment of Terms and Conditions:
The Operator is entitled to unilaterally amend these Terms and Conditions. Users will be informed of amendments within the framework of the Service. If a User starts using any part of the Service after the amendment, it will be considered acceptance of the new Terms and Conditions.
Liability in Case of Third-Party Claims:
If due to the Service Provider's behavior, a third party or authority makes a claim or initiates proceedings against the Operator, the Service Provider is obligated to compensate the Operator for all damages, costs, and disadvantages arising from the Service Provider's illegal conduct or related situation.
Termination of Contract and Service Provider’s Rights to Withdrawal
The Operator is entitled to delete the Service Provider’s registration and remove all data and information related to the Service Provider’s profile if the Service Provider breaches the terms of this Contract. The Service Provider acknowledges that registration may be deleted in case of breach of the Terms and Conditions. The Operator excludes all responsibility if the Service Provider’s profile is deleted due to conduct contrary to these terms or legal violations.
In case of any reason for registration deletion, this Contract will automatically and immediately terminate.
The Operator reserves the right to terminate the entire Service at any time without prior notice, in which case this Contract will automatically terminate.
This Contract can also be terminated at any time by the Service Provider.
Language and Form of Contracts
Contracts created by registration are in Hungarian. These do not constitute written contracts and are not archived by the Operator, and are not accessible later.
Termination and Amendment Rights
Once the Service has started, the current Contract cannot be canceled. However, the Service Provider may exercise their right to terminate by deleting their profile at any time. The Operator reserves the right to unilaterally amend the Contract. The Operator will notify the Service Providers of the amendment in the form of a brief notice, indicating the effective date, either on the homepage or via email. After the amendment comes into effect, using any part of the Service will be considered acceptance of the amended Contract. All information related to the Service operation and the current Contract is binding on all Users and Service Providers.
Other Provisions
The Operator reserves the right to change, remove, or modify any content of the Service, including its appearance, content, operation, or to place advertisements, promotional materials, or other content, without prior notice.
System messages sent by the Operator to Service Providers, related to the operation of the Service, the purchasing process, technical information, or amendments to these Terms and Conditions, cannot be blocked.
Issues related to the operation of the Service can be reported to customer service through the provided contact details.

The operation and management of the Service is in accordance with Act CVIII of 2001 on certain issues of electronic commerce services and information society services.
In matters not regulated by these Terms and Conditions, Hungarian laws shall apply.
